Vendor Participation Agreement – Tribaverse Green Festival
This Vendor Participation Agreement (the "Agreement") is entered between Tribaverse ("Organizer") and Vendor ("Vendor") collectively referred to as the "Parties."
1. Event Details
1.1 Event Name: Tribaverse Green Festival
2. Vendor Responsibilities
2.1 Product Display: Vendor agrees to display eco-friendly, sustainable, or green products at the festival in a manner consistent with the event's theme.
2.2 Booth Setup: Vendor is responsible for providing and setting up their booth, including tables, chairs, and any necessary equipment.
2.3 Compliance: Vendor shall comply with all local, state, and federal laws and regulations pertaining to the sale and promotion of their products.
3. Fees and Payment
3.1 Booth Fee: Vendor agrees to pay the booth fee to Organizer by event date.
4. Event Promotion
4.1 Cooperation: Vendor agrees to actively promote their participation in the Green Festival through their marketing channels.
5. Insurance and Liability
5.1 Insurance: Vendor is responsible for obtaining liability insurance coverage for their participation in the festival.
5.2 Indemnification: Vendor agrees to indemnify and hold Organizer harmless from any claims, damages, or liabilities arising from Vendor's participation.
6. Cancellation
6.1 Vendor Cancellation: In the event Vendor wishes to cancel their participation, a written notice must be provided to Organizer at least 7 days before the event. A 50% cancellation fee will apply.
6.2 Organizer Cancellation: Organizer reserves the right to cancel the Vendor's participation in the event for any reason. In such cases, the Organizer will refund the booth fee.
7. Termination
7.1 Breach: Either party may terminate this Agreement in the event of a material breach by the other party.
8. Governing Law
8.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of The Republic of Ghana.
9. Entire Agreement
9.1 Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior oral or written agreements, understandings, or representations.
